1. Acceptance and scope
These Terms of Service (“Terms”) govern your access to and use of https://www.wavestorm.ca and any related sub-domains (the “Site”), operated by WaveStorm Technologies Inc. (“WaveStorm”, “we”, “us”). By accessing or using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms apply to your use of the Site only. They do not govern the supply of goods or services. Any procurement of WaveStorm equipment, integration, or professional services is subject to a separate written agreement signed by an authorised representative of WaveStorm.
2. Eligibility
You must be at least 18 years of age and able to form a legally binding contract under the laws of Ontario to use the Site.
3. Permitted use
You may access the Site for the purpose of evaluating WaveStorm's capabilities, reviewing publicly available product information, and contacting us through the channels we provide.
You agree not to:
- copy, reproduce, republish, frame, or redistribute content from the Site beyond ordinary fair-dealing use under the Copyright Act (R.S.C. 1985, c. C-42);
- modify, translate, reverse-engineer, decompile, or create derivative works of the Site or its software components;
- access the Site by any automated means (scrapers, bots, headless browsers used for harvesting), except for well-behaved search-engine crawlers respecting our
robots.txt; - defeat, disable, or interfere with security features of the Site, including the contact-form rate limit, the honeypot field, or our HTTP response headers;
- use the Site to transmit malicious code, spam, fraudulent communications, or unlawful content;
- impersonate any person or organisation, or provide false or misleading information through the contact form;
- collect or store personal information about other users of the Site.
4. Intellectual property
All content on the Site — including text, graphics, logos, photographs, video, code, structure, and the selection and arrangement of materials — is owned by WaveStorm or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual-property laws. The “WaveStorm” name and logo are trademarks of WaveStorm Technologies Inc. Third-party product names and partner logos (including Creomagic, Infinidome, AccuBeat, GTD, and others shown on the Site) are trademarks of their respective owners and are used to identify WaveStorm's partnerships and integrations.
We grant you a limited, revocable, non-exclusive, non-transferable licence to access the Site for the purposes set out in section 3. No other rights are granted by implication, estoppel, or otherwise.
5. Information about defence products and services
Information on the Site about MANET radios, GNSS protection, HF and SATCOM systems, and related capabilities is provided for general informational purposes only. It is not an offer to sell, a solicitation, or an export licence. The supply of WaveStorm products and services is subject to:
- the Defence Production Act (R.S.C. 1985, c. D-1) and the Controlled Goods Regulations (SOR/2001-32);
- the Export and Import Permits Act (R.S.C. 1985, c. E-19) and applicable Canadian, U.S. (ITAR/EAR), and other export-control regimes;
- end-user verification, security clearances, and other eligibility requirements as applicable;
- a separate written agreement between WaveStorm and the customer.
Specifications, claims of field performance, partner relationships, and product availability may change without notice. Statements about technology readiness, certifications, or capabilities reflect information believed to be correct as of the Effective date of these Terms and are not warranties.
6. No warranty
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR CONTINUED AVAILABILITY. WAVESTORM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALICIOUS CODE.
To the maximum extent permitted by Ontario law, all implied warranties and conditions are excluded.
7. Limitation of liability
To the maximum extent permitted by Ontario law:
IN NO EVENT WILL WAVESTORM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WAVESTORM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
These limitations apply regardless of the legal theory on which a claim is based (contract, tort including negligence, statute, or otherwise), and survive termination of these Terms. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless WaveStorm and its directors, officers, employees, agents, and licensors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Site.
9. Third-party links
The Site may contain links to third-party websites, including LinkedIn. We do not control these sites and are not responsible for their content, availability, or privacy practices. Your use of any third-party site is governed by that site's own terms.
10. Privacy
Personal information you submit through the Site is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
11. Suspension and termination
We may, at our discretion and without notice, restrict, suspend, or terminate your access to the Site (including by IP-level blocks) if we believe you have breached these Terms or engaged in conduct that may harm WaveStorm, the Site, or its users. Sections 4, 6, 7, 8, 10, 12, 13, 14, and 16 survive any termination.
12. Governing law and forum
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without reference to conflict-of-law principles. You agree that the courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you waive any objection to that jurisdiction or to the convenience of that forum.
13. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
14. Entire agreement; no waiver
These Terms, together with the Privacy Policy, constitute the entire agreement between you and WaveStorm regarding your use of the Site, and supersede any prior or contemporaneous communications. Our failure to enforce any provision is not a waiver of our right to do so later.
15. Changes to these Terms
We may update these Terms from time to time. The “Effective” date at the top will reflect the most recent revision. Your continued use of the Site after a change is published constitutes acceptance of the revised Terms.
